LEGAL TERMS AND CONDITIONS OF THE CHARITY CAMPAIGN "PRODUCT DONATIONS FOR VENEZUELA"

The purpose of these legal terms and conditions (the “Terms”) is to govern the terms and conditions of the charitable campaign organized by SMILEAT, S.L., with Tax ID No. B-87144622 and registered office at Gran Vía 62, 5th Floor, D, 28013, Madrid (hereinafter, “Smileat”).

1. Purpose of the Action

In response to the earthquake in Venezuela, Smileat is launching a charitable initiative aimed at helping to send infant formula to affected families, in collaboration with various organizations and associations involved in the coordination and distribution of humanitarian aid (the “Initiative”).

Smileat has already made an initial donation of products, and through this initiative, it also hopes to involve its community, turning purchases made on its official online store into a new way to help.

2. Duration

The Promotion will be in effect from 12:00 a.m. on Friday, July 3, 2026, through 11:59 p.m. on Thursday, July 9, 2026, both dates inclusive (the “Promotion Period”).

Smileat may terminate the Promotion early if the maximum stock allocated to it is exhausted, as provided in clause 5 of these Terms and Conditions.

3. Geographic Scope

This promotion is valid only for purchases made: (i) in Spain; and (iii) through the official Smileat online store (www.smileat.com).

This does not apply to purchases made outside of Spain, purchases shipped outside of Spain, or purchases made through physical or digital sales channels other than the official Smileat store. 

4. Mechanics of the Action

During the Promotion Period, Smileat will offer users of its online store a “charity jar,” available for €2.69, which is equivalent to the regular retail price of one jar. 

The purchase of the charity jar means that the product will not be shipped to the buyer; instead, the proceeds will be donated in full to the charitable cause described in these Terms and Conditions.

 For every charity jar purchased, Smileat will donate that jar and add one (1) additional jar on its own, so that for every unit purchased by a customer, two (2) jars will be donated to humanitarian aid. Participation in this initiative is completely voluntary and is not tied to the purchase of any other product from the online store.

 In the event of order cancellation, withdrawal, or return of purchased products, those products will not be included in the calculation of the donation.

Donated products will be accounted for based on valid purchases made during the Promotion Period.

5. Donation Limit

This initiative provides for a maximum donation of 27,000 jars (the “Maximum Stock”).

Once that limit is reached, Smileat may terminate the Promotion, even if the Promotion Period has not yet ended.

Should this situation arise, Smileat will announce it through one of its official channels. 

6. Use of Donated Products

The donated products will be delivered by Smileat to one or more partner organizations and/or associations that specialize in the management and distribution of humanitarian aid, which will be responsible for getting the products to the recipient families in Venezuela. 

In the event that, for reasons beyond Smileat’s control, it is not possible to deliver the products in Venezuela—either in whole or in part—due to logistical, customs, regulatory, health, transportation, or security issues, or any other circumstance of force majeure that prevents or hinders their proper distribution, Smileat may donate all or part of the donated products to one or more humanitarian organizations or aid projects with an equivalent purpose, ensuring that the donation benefits people in vulnerable situations. 

Smileat will always act in good faith and with the aim of ensuring that all products pledged for this charitable initiative are ultimately used for humanitarian purposes. Notwithstanding the foregoing, Smileat shall not be liable for any actions taken by the aforementioned partner organizations and/or associations once the products have been delivered to them for distribution.

Smileat assumes no liability for delays, losses, damage, or any other incident that may affect the donated products once they have been delivered to partner organizations, nor for the use that such organizations make of them.

Once the campaign has ended, and whenever possible, Smileat will announce the results of the initiative through its usual communication channels, including the total number of products donated and, where applicable, the partner organizations that participated in distributing the aid.

7. Communication Regarding the Action

The initiative may be communicated through the following channels, among others:

• Smileat's official website (top information bar and product pages for participating jars).

• Informative newsletters.

• Smileat's official social media accounts, including Instagram, LinkedIn, and other corporate profiles.

In addition, once the campaign has ended, Smileat may announce the results of the campaign and the total number of products donated through those channels.

8. Data Protection

Participation in this Promotion does not involve any additional processing or collection of personal data beyond what is necessary to manage purchases made in the Smileat online store. Smileat, as the data controller, will process participants’ personal data in accordance with the provisions of Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 of December 5 on the Protection of Personal Data and the Guarantee of Digital Rights (LOPDGDD).

The processing of personal data will be governed by the provisions of the Privacy Policy available at www.smileat.com.

 9. Modification or Cancellation

Smileat reserves the right to modify, suspend, extend, or cancel this Promotion in the event of justifiable causes, force majeure, or any other situation that prevents its proper conduct, and undertakes, to the extent possible, to notify participants of such circumstances through its usual communication channels. Under no circumstances shall the modification, suspension, or cancellation of the Promotion give rise to any right to indemnification or compensation for participants.

10. Acceptance of the Terms and Conditions

Making purchases from the official Smileat online store during the Promotion Period implies that the buyer has read and fully accepts these Terms and Conditions.

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by Spanish law.

For any disputes that may arise from the interpretation or enforcement of these Terms and Conditions, the parties submit to the courts and tribunals of the city of Madrid, expressly waiving any other jurisdiction to which they may be entitled, except in cases where applicable law mandates a different jurisdiction.
