Legal bases for donation
LEGAL TERMS AND CONDITIONS OF THE CHARITABLE INITIATIVE “PRODUCT DONATION FOR COLOMBIA”
These legal terms and conditions (the “Terms”) are intended to regulate the terms and conditions of the charitable initiative promoted by SMILEAT, S.L., with Tax Identification Number B-87144622 and registered office at Gran Vía 62, 5th Floor D, 28013, Madrid (hereinafter, “Smileat”).
1. Purpose of the initiative
Following the earthquake that occurred in Colombia, Smileat is launching a charitable initiative intended to help provide baby food to affected families, in collaboration with several organizations and associations that participate in channeling and distributing humanitarian aid (the “Initiative”).
Smileat has already made an initial product donation and, through this initiative, also wishes to involve its community by turning purchases made through its official online store into a new way of providing assistance.
2. Duration
The Initiative will be in effect from 12:00 a.m. on Friday, August 14, 2026, until 11:59 p.m. on Thursday, August 20, 2026, inclusive (the “Initiative Period”).
Smileat may end the Initiative earlier if the Maximum Stock allocated to it is exhausted, as provided in clause 5 of these Terms.
3. Territorial scope
The Initiative will be valid only for purchases made: (i) in Spain; and (iii) through Smileat’s official online store (www.smileat.com).
Purchases made outside Spain, purchases whose destination is outside the national territory, and purchases made through sales channels other than Smileat’s official physical or digital store are excluded.
4. How the Initiative works
During the Initiative Period, Smileat will make a charitable jar available to users of its online store at a price of €2.69, equivalent to the usual selling price of a jar.
Purchasing the charitable jar means that the product will not be shipped to the purchaser, but will instead be allocated in full to the charitable initiative covered by these Terms.
For each charitable jar purchased, Smileat will donate that jar and add one (1) additional jar at its own expense, so that two (2) jars will be allocated to humanitarian aid for each unit purchased by a customer. Participation in this initiative is entirely voluntary and is not linked to the purchase of any other product from the online store.
In the event of order cancellation, withdrawal, or return of the products purchased, those products will not be taken into account when calculating the donation.
The donated products will be counted based on purchases validly made during the Initiative Period.
5. Donation limit
This Initiative provides for a maximum donation of 25,000 jars (the “Maximum Stock”).
Once this limit has been reached, Smileat may end the Initiative even if the Initiative Period has not yet concluded.
If this occurs, Smileat will announce it through one of its official channels.
6. Destination of the donated products
The products covered by the donation will be delivered by Smileat to various collaborating organizations, associations, and foundations specializing in the management and distribution of humanitarian aid, which will be responsible for ensuring that the products reach the recipient families in Colombia.
If, for reasons beyond Smileat’s control, it is not possible to deliver all or part of the products in Colombia due to logistical, customs, regulatory, health, transportation, security, or any other force majeure circumstances that prevent or hinder their proper distribution, Smileat may allocate all or part of the donated products to one or more other humanitarian organizations or aid projects with an equivalent purpose, seeking to ensure that the donation benefits people in vulnerable situations.
Smileat will always act in good faith and with the aim of ensuring that all products committed under this charitable initiative are ultimately allocated to humanitarian purposes. Notwithstanding the foregoing, Smileat will not be responsible for the actions carried out by the aforementioned collaborating organizations and/or associations once the products have been delivered to them for distribution.
Smileat assumes no liability for delays, losses, deterioration, or any other incident that may affect the donated products once they have been delivered to the collaborating organizations, nor for the use those entities make of them.
Once the Initiative has ended, and whenever possible, Smileat will report through its usual communication channels on the outcome of the initiative, including the total number of products donated and, where applicable, the collaborating entities that participated in distributing the aid.
7. Communication of the Initiative
The Initiative may be communicated through, among others, the following channels:
- Smileat’s official website (informational top banner and product pages for the participating jars).
- Informational newsletters.
- Smileat’s official social media channels, including Instagram, LinkedIn, and other corporate profiles.
Likewise, once the Initiative has ended, Smileat may communicate its outcome and the total number of products donated through those channels.
8. Data protection
Participation in this Initiative does not involve any additional processing or collection of personal data beyond what is necessary to manage purchases made through Smileat’s online store. Smileat, in its capacity as data controller, will process participants’ personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 of December 5 on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD).
The processing of personal data will be governed by the provisions of the Privacy Policy available at www.smileat.com.
9. Modification or cancellation
Smileat reserves the right to modify, suspend, extend, or cancel this Initiative when justified reasons, force majeure circumstances, or any other situation preventing its proper operation arise, undertaking, insofar as possible, to communicate such circumstances through its usual communication channels. Under no circumstances will the modification, suspension, or cancellation of the Initiative give participants any right to compensation or indemnification.
10. Acceptance of the Terms
Making purchases through Smileat’s official online store during the Initiative Period implies that the purchaser has read and fully accepts these Terms.
11. Applicable law and jurisdiction
These Terms will be governed by Spanish law.
For any matters that may arise from the interpretation or enforcement of these Terms, the parties submit to the Courts and Tribunals of the city of Madrid, expressly waiving any other jurisdiction that may correspond to them, except in cases where applicable law imposes a different mandatory jurisdiction.
